Binding Agreement
These Terms and Conditions constitute a legally binding agreement between you and Lingova. By accessing our website, enrolling in our courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
If you do not agree to these terms, you must immediately discontinue use of our services. These terms supplement and work in conjunction with our Terms of Service and Privacy Policy.

User Obligations and Conduct

You expressly agree not to engage in any of the following activities:
- Harassing, threatening, or creating a hostile environment for others
- Sharing, copying, or distributing our proprietary educational materials
- Recording classes without explicit written permission
- Impersonating instructors, staff, or other students
- Attempting to access restricted areas of our systems or networks
- Using our services to promote competing educational services
- Submitting plagiarized or fraudulent work for evaluation
- Disrupting classes or interfering with other students' learning
3. Academic Integrity
You commit to maintaining high standards of academic integrity by:
- Submitting only your own original work for evaluation
- Properly attributing sources when using external materials
- Avoiding plagiarism, cheating, or other forms of academic dishonesty
- Participating honestly in assessments and evaluations
- Reporting suspected violations of academic integrity to instructors
4. Attendance and Participation
Students are expected to:
- Attend scheduled classes regularly and punctually
- Notify instructors in advance of absences when possible
- Actively participate in class activities and discussions
- Complete assigned homework and coursework on time
- Come prepared to classes with necessary materials
Liability Limitations and Disclaimers
1. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that services will be uninterrupted or error-free

- Warranties of specific learning outcomes or proficiency levels
2. Limitation of Liability

In no event shall our total liability exceed the amount you paid to us in the twelve months preceding the claim.
3. Educational Outcomes
While we strive to provide high-quality instruction, we make no guarantees regarding:
- Specific improvements in language proficiency
- Success in examinations or certifications
- Career advancement or employment opportunities
- Achievement of particular learning objectives within a set timeframe
Individual learning outcomes depend on many factors including effort, aptitude, prior knowledge, and regular practice, which are beyond our control.
Indemnification
You agree to indemnify, defend, and hold harmless Lingova, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms and Conditions
- Your violation of any applicable law or regulation
- Your violation of any rights of a third party
- Your use or misuse of our services
- Any content or materials you submit or share
- Your willful misconduct or gross negligence
Force Majeure
Lingova shall not be liable for any failure or delay in performing our obligations under these terms if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, typhoons, floods)
- Pandemics or public health emergencies
- Acts of war or terrorism
- Government restrictions or regulations
- Power outages or telecommunications failures
- Labor disputes or strikes
- Supplier failures
- Other events beyond our control
In such events, we will make reasonable efforts to resume normal operations and may offer alternative arrangements where feasible.
Dispute Resolution
1. Informal Resolution
Before initiating formal proceedings, we encourage you to contact us to seek an informal resolution of any dispute. Many concerns can be resolved quickly through good-faith discussion.
2. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.
3. Jurisdiction and Venue
Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of Tokyo, Japan, and you irrevocably consent to the jurisdiction of such courts.
4. Class Action Waiver
To the extent permitted by law, you agree to resolve disputes with Lingova on an individual basis and waive any right to participate in class actions or representative proceedings.
Severability and Waiver
Severability
If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
Waiver
Our failure to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by authorized representatives of Lingova.
Entire Agreement
These Terms and Conditions, together with our Terms of Service, Privacy Policy, and Cookie Policy, constitute the entire agreement between you and Lingova regarding the use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
No amendment, modification, or waiver of any provision of these terms shall be effective unless in writing and signed by authorized representatives of both parties.
Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations without restriction.
Any attempted assignment in violation of this provision shall be null and void.
Survival
The following provisions shall survive termination of these Terms and Conditions: Intellectual Property Rights, Indemnification, Limitation of Liability, Disclaimers, Dispute Resolution, and any other provisions that by their nature should reasonably survive termination.
